1. Agreement to Terms

By accessing or using LeadZ ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.

2. Description of Service

LeadZ is a field service management platform that provides:

• Customer relationship management (CRM)
• Job scheduling and dispatch
• Invoicing and payment processing
• Communication tools (SMS, email, WhatsApp)
• Reporting and analytics
• Mobile applications for technicians
• Third-party integrations

3. Account Registration

To use the Service, you must:

• Be at least 18 years old
• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You may not share your account, use another person's account, or create multiple accounts without permission.

4. Acceptable Use

You agree NOT to use the Service to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Engage in fraudulent activities
• Harass, abuse, or harm others
• Spam or send unsolicited communications
• Scrape or harvest data without permission
• Reverse engineer or attempt to access source code
• Interfere with the Service's operation

5. Payment Terms

Subscription Plans: We offer various subscription tiers with different features and pricing. All fees are in USD unless otherwise stated.

Billing: Subscriptions are billed monthly or annually in advance. You authorize us to charge your payment method for all fees.

Free Trial: New accounts may receive a free trial period. We may require payment information during sign-up. You will be charged when the trial ends unless you cancel.

Refunds: Refunds are provided at our discretion. Monthly subscriptions are non-refundable. Annual subscriptions may be eligible for pro-rata refunds within 30 days.

Price Changes: We may change prices with 30 days' notice. Continued use after the change constitutes acceptance.

6. Data & Privacy

Your Data: You retain all rights to data you input into the Service. We do not claim ownership of your customer data, job records, or business information.

Our Use: We may use your data to provide and improve the Service, generate anonymized analytics, and comply with legal obligations.

Privacy: Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms.

Security: We implement industry-standard security measures but cannot guarantee absolute security. You are responsible for backing up your data.

7. Intellectual Property

Our IP: The Service, including its design, features, code, trademarks, and content, is owned by LeadZ and protected by copyright, trademark, and other laws.

License Grant: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your business purposes.

Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Service without express written permission.

8. Third-Party Services

The Service may integrate with third-party services (Stripe, Twilio, QuickBooks, etc.). Your use of these services is subject to their own terms and conditions.

We are not responsible for third-party services and make no warranties about their availability, functionality, or security.

9. Termination

By You: You may cancel your account at any time through the Service settings. Cancellation takes effect at the end of your current billing period.

By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay fees.

Effect: Upon termination, your access ends immediately. We will retain your data for 30 days for recovery, after which it may be permanently deleted.

10. Warranties & Disclaimers

AS-IS BASIS: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee the Service will be uninterrupted, secure, or error-free. You use the Service at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless LeadZ from any claims, damages, losses, or expenses (including attorney fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Dispute Resolution

Governing Law: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Arbitration: Any disputes shall be resolved through binding arbitration rather than in court, except for intellectual property claims.

Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions.

14. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and LeadZ.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver: Failure to enforce any right does not constitute a waiver of that right.

Assignment: You may not assign these Terms. We may assign them without notice.
